Terms of Service
OVERVIEW
This website is operated by CODE 118, an SS MEDIA LLC brand. Throughout the site, the terms “we”, “us” and “our” refer to CODE 118. CODE 118 offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
CODE 118 is a brand of SS MEDIA LLC, a California limited liability company. In these Terms, “CODE 118”, “we”, “us” and “our” mean SS MEDIA LLC doing business as CODE 118. Where these Terms limit our liability, disclaim warranties, set a time limit for claims, require arbitration, waive class actions or jury trials, or require you to indemnify us, those protections also extend to our parents, subsidiaries, affiliates, owners, members, managers, officers, directors, employees, agents, contractors, licensors, manufacturers, suppliers, subcontractors, service providers, partners and interns, and to their successors and assigns (our “Related Parties”).
By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.
IMPORTANT NOTICE: ARBITRATION, CLASS ACTION WAIVER AND JURY TRIAL WAIVER
SECTION 34 OF THESE TERMS REQUIRES THAT ANY DISPUTE BETWEEN YOU AND CODE 118 BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT. YOU AND CODE 118 EACH GIVE UP THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS OR REPRESENTATIVE ACTION. YOU ALSO GIVE UP THE RIGHT TO JOIN, OR TO RECEIVE MONEY OR ANY OTHER RELIEF FROM, ANY SUCH ACTION THAT SOMEONE ELSE BRINGS AGAINST CODE 118, WHETHER IT IS PENDING NOW OR FILED LATER, EXCEPT AS SECTION 34.3 STATES. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS BY FOLLOWING THE STEPS IN SECTION 34. PLEASE READ SECTIONS 34 AND 35 CAREFULLY.
The “site” and the “Service” include code-wallets.com, code118.com, code118.co and every other website, landing page, checkout, social media page, email, text message, phone and chat channel operated by or for CODE 118, and every order you place or try to place with us through any of those channels or in person.
These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, Lifetime Warranty, Messaging Terms and any other policy or additional terms we post or present to you (for example, the official rules of a giveaway or the terms shown at checkout for a specific offer), form one agreement between you and us (the “Agreement”).
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you confirm that you have read and understood these Terms of Service and agree to be bound by them. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
You also accept these Terms each time you place an order, create an account, sign up for our emails or texts, use a CODE 118 product, make a warranty claim, or click a button or check a box that refers to these Terms. Your acceptance is binding in the same way as a signed written agreement.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
This website and its checkout are hosted by Funnelish, and our orders are processed on Shopify Inc.'s e-commerce platform. They provide us with the online platforms that allow us to sell our products and services to you.
SECTION 1 - ONLINE STORE TERMS
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service in any way, including to place an order, create an account or join any of our programs. No one under that age may use the Service, even with a parent’s permission. By using the Service you confirm that you meet this requirement, that you have the legal capacity to enter into a binding contract, and that you have not been barred from the Service by us or by law. The Service is not directed to children under 13.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). SS MEDIA LLC is not responsible for any use of our products for an illegal or unauthorized purpose.
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
SECTION 3 - LICENSE TO USE THE SITE
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access the site and make personal, non-commercial use of it to learn about and buy our products.
This license does not include, and you may not do, any of the following without our express written permission:
resell or make any commercial use of the site or its content;
collect or use any product listings, descriptions, images, reviews or prices;
make any derivative use of the site or its content;
download or copy account information for the benefit of another merchant;
use data mining, robots, scrapers, crawlers or similar data gathering and extraction tools, or use site content to train or develop any software, model or dataset;
frame, mirror or enclose any part of the site, or any trademark, logo, image, text or page layout of ours;
use meta tags or any other hidden text that uses our name or trademarks;
use our logos or graphics as part of a link, or link to the site in a way that suggests we endorse or are affiliated with you;
download (other than page caching), modify, reverse engineer or decompile the site or any part of it.
Any unauthorized use ends the license granted in this section immediately. All rights not expressly granted to you in these Terms are reserved by us and our licensors.
SECTION 4 - ACCOUNTS
You may need an account to use some features of the Service. You agree to give us accurate, current and complete information when you register and to keep it up to date.
You are responsible for keeping your login details confidential and for everything that happens under your account, including all orders and charges, whether or not you knew about or authorized them. Do not share your login details or let anyone else use your account. Tell us right away at support@code-wallets.com if you suspect unauthorized use. You remain responsible for all activity and charges under your account even after you tell us.
You may keep only one customer account unless we agree otherwise. You may not create an account using a false identity, impersonate another person, or use a name you have no right to use.
We may refuse registration, or suspend or close any account, at any time and for any reason, including if we believe the information you gave us is untrue, inaccurate or incomplete, or that the account has been used in violation of these Terms.
We have no duty to verify the identity of anyone who uses the Service, and we are not liable for identity theft or for any misuse of your identity or information.
SECTION 5 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.
SECTION 6 - MODIFICATIONS TO THE SERVICE AND PRICES
Prices for our products are subject to change without notice.
We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
SECTION 7 - PRODUCTS OR SERVICES (if applicable)
Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We try to describe and show our products accurately, but we do not warrant that the product descriptions, photos, videos, colors, specifications or packaging shown on the site are accurate, complete, reliable, current or error-free. We cannot guarantee that your computer monitor's display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.
We may change or discontinue any product, or its specifications, materials, colors, finishes, components or packaging, at any time without notice or obligation to you. Product photos, videos and renderings are for illustration. The product and packaging you receive may differ from what is shown. Dimensions, weights and capacities are approximate.
Listing a product on the site does not mean it is or will stay available. Limited edition and limited release products may sell out and may not be restocked.
If a product you receive is not as described, your sole remedy is to return it in line with our Return Policy, or to make a claim under our Lifetime Warranty where it applies.
Our products are intended for personal use by adults. Use each product only as described in its instructions and user manual. Some products contain small parts, magnets or batteries and are not toys. Keep them away from young children.
Any reference on the site to a third party’s product, service or brand is for information only and is not an endorsement or warranty by us.
SECTION 8 - PRODUCT-SPECIFIC NOTICES
RFID protection. Products described as RFID protected or RFID blocking are designed to reduce the risk of unauthorized wireless scanning of certain cards. No product can protect against every kind of scanning, skimming, electronic theft or fraud, and we do not promise that yours will.
Magnets and magnetic phone attachment. Some products contain magnets. Magnets can interfere with pacemakers, defibrillators and other medical devices, and can affect magnetic-stripe cards, hotel key cards and some electronics. If you use a medical device, talk to your doctor and the device maker before using these products. How well a product attaches to or works with a phone depends on the phone model, its case and its accessories. We do not guarantee compatibility with every device, or that a product will stay attached in every situation, and we are not responsible for damage to or loss of a phone, card or other item carried in or attached to our products.
Tracker products. Tracker products work only with compatible phones and with device-location networks and apps that are owned and run by third parties, not by us. Their availability, range, accuracy, features and continued operation depend on those third parties, on your phone and its settings and software, and on local conditions, and they can change or end at any time. The companion app may show a manufacturer or model name that is different from the CODE 118 product name. A tracker helps you look for your own belongings. It is not a security, anti-theft or recovery service, and we do not promise that a lost or stolen item will be found or returned. You may use tracker products only to locate your own property or property you have permission to track. You may not use them to track, monitor or locate any person without that person’s consent, or for stalking, harassment or any unlawful purpose. You are solely responsible for how you use a tracker product and for following the laws that apply to you.
Power banks and other battery products. These products contain lithium batteries. Use, charge and store them only as described in their instructions. Do not puncture, crush, take apart or modify them, do not expose them to water, high heat or fire, and stop using any battery that is swollen, damaged or unusually hot. Airlines and shipping carriers restrict how batteries may be carried, and you are responsible for following those rules. Charging speed, usable capacity and compatibility vary by device, cable and conditions. Dispose of batteries according to your local rules.
Travel and vacuum products. How much space you save depends on what you pack and how you pack it. Any figures we show for added packing space or baggage savings are estimates, not guarantees. Compressing your belongings does not reduce their weight. You are responsible for meeting your airline’s size, weight and content rules and for any baggage fees.
Tools, clips and pens. Multi-tool cards, clips, carabiners and similar items are tools. Use them with care and only for their intended purpose. Clips and carabiners are not designed for climbing or for supporting a person’s weight. You are responsible for checking whether you may carry these items through airport security, into a venue or under your local law, and we are not responsible if an item is confiscated.
Capacity. The number of cards or bills a product holds depends on the thickness and type of your cards and bills. Stated capacities are approximate.
Leather and finishes. Leather is a natural material. Color, grain and texture vary from piece to piece and change with use. Anodized, painted, plated and other finishes can scratch, fade or wear over time.
Engraving and personalization. You are responsible for the accuracy of any text or design you submit, including spelling. We may refuse or cancel any personalization request that we consider offensive, unlawful or likely to infringe someone else’s rights. Personalized items are final sale as described in our Return Policy.
Third-party brands. Apple, iPhone, MagSafe, AirTag and Find My are trademarks of Apple Inc. Android and Google are trademarks of Google LLC. Other names and logos belong to their owners. Unless we say otherwise, CODE 118 is not affiliated with, sponsored by or endorsed by any of them, and our use of their names only describes compatibility.
SECTION 9 - ORDERS, PRICING ERRORS AND ORDER ACCEPTANCE
Your order is an offer. When you place an order, you are making an offer to buy the products in it under these Terms. An order confirmation only tells you that we received your order. We accept an order when we ship it.
Our right to refuse, cancel or limit. We may refuse, cancel or limit any order, or any part of one, at any time after it is placed and for any reason in our sole discretion, even if we have sent an order confirmation, charged your payment method or shipped the order. Reasons may include limited availability, an error in the price or product information, suspected fraud or resale, a problem with your payment or address, or a violation of these Terms. If we cancel an order after you have been charged, we will refund the amount you paid for the cancelled items. If the order has already shipped, we may recall the package. We may ask you for more information before we accept an order.
Pricing errors. We try to make sure prices and product information are correct, but mistakes happen. If a product is listed at the wrong price or with wrong information, we may correct the error and refuse or cancel any order placed at the wrong price or based on the wrong information, whether or not the order has been confirmed or charged. Your only remedy is a refund of what you paid for the cancelled order.
Prices and charges. The price you pay is the price shown at checkout when you place your order. Prices are shown in the currency displayed at checkout. Taxes, shipping and duties are extra unless we say they are included. Sale prices and promotions can change or end at any time. We are not required to adjust the price of an order you already placed if the price changes later.
Changes and cancellations by you. We start processing orders quickly. We cannot promise that an order can be changed or cancelled once it has been placed. Orders that include engraving or other personalization cannot be changed or cancelled by you, except as Section 11 allows for delays.
All sales channels. These Terms apply to every order you place with us, whether on our site, by phone, email or chat, or in person. Placing an order electronically satisfies any legal requirement that a contract be in writing and signed.
SECTION 10 - ACCURACY OF BILLING AND ACCOUNT INFORMATION; PAYMENT
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
For more detail, please review our Returns Policy.
Payment authorization. When you place an order, you confirm that the payment information you give is true and complete, that you are authorized to use the payment method, and that it has enough funds or credit to cover the order. You authorize us and our payment processors to charge the full amount shown at checkout, including taxes and shipping.
Third-party payment providers. If you pay through a third-party service, such as a digital wallet or a buy-now-pay-later provider, your use of that service is governed by its own terms. We are not responsible for that provider’s acts, errors or fees, for a declined payment, or for overdraft, over-limit or other fees charged by your bank or card issuer.
Sales tax. We collect sales tax and similar taxes where the law requires. In some places tax applies to shipping. The total shown at checkout includes the tax we collect.
Inaccurate or fraudulent information. We may cancel an order, or suspend or close an account, if we believe the payment or other information tied to it is inaccurate, out of date, incomplete or fraudulent. Using a false name, address, phone number or payment method to place an order is fraud. We may report it to law enforcement and to payment networks, and we may pursue every remedy the law allows.
Payment disputes and chargebacks. If you have a problem with an order or a charge, contact us first at support@code-wallets.com so we can try to fix it. If you dispute a charge with your bank or card issuer, we may contest the dispute and share with the bank or card issuer the information needed to do so, including your order, delivery and account records and our communications with you. While a dispute is open we may suspend your account and put any warranty claim on the disputed order on hold, and we may decline future orders from you.
SECTION 11 - SHIPPING, DELIVERY, TITLE AND RISK OF LOSS
Our Shipping Policy is part of these Terms. Shipping charges are shown at checkout.
Delivery estimates. We use commercially reasonable efforts to ship orders promptly. Shipping and delivery dates are estimates, not guarantees. We are not liable for any loss caused by a delay, and we do not refund expedited shipping charges because a package arrives later than estimated. We may ship an order in more than one package.
Title and risk of loss. Title to the products, and the risk of loss or damage, pass to you when we hand your order to the carrier. If a package is lost or damaged in transit, contact us. Any help we give is at our discretion and does not change who bears the risk.
Your address. You are responsible for giving us a complete and correct shipping address. We are not responsible for orders that are delayed, lost or delivered to the wrong place because of an address error, and we may charge you to ship the order again. We may not be able to change an address after an order ships.
After delivery. A package is delivered when the carrier’s tracking shows it as delivered to the address you gave us. We are not responsible for packages that are lost or stolen after delivery.
Refused and undeliverable packages. If a package is refused, unclaimed or returned to us as undeliverable, we may deduct the original shipping cost, the return shipping cost and any duties or fees we were charged from any refund, or charge you to ship it again.
Reporting problems. Tell us about a missing, wrong or damaged item within the time stated in our Return Policy. If you do not, we have no obligation to replace or refund the item.
Backorders and delays. If an item is on backorder or pre-order, we will ship it when it becomes available. If we cannot ship by the date we gave you, or within 30 days of your order where we gave no date, we will let you know and you may cancel that item for a refund.
Shipping protection. If a third-party shipping protection or package protection service is offered at checkout and you buy it, that service is provided under the third party’s terms.
SECTION 12 - INTERNATIONAL ORDERS
We ship only to the countries we choose to serve, and we may refuse or cancel any order with a delivery address outside the United States.
If we ship an order to you outside the United States:
you are the importer of record;
you are responsible for all customs duties, import taxes, VAT, GST, brokerage and other fees charged on the shipment, which are not included in your order total unless checkout says they are;
you authorize us to ship the order and to arrange carriage with a carrier on your behalf;
you confirm the products are for your personal use and not for resale;
you are responsible for making sure the products can lawfully be imported into and used in your country, including any rules on batteries, wireless devices and tools.
Customs processing can delay delivery, and we are not responsible for those delays. If you refuse a shipment or do not pay the duties and fees charged on it, Section 11 applies to that package.
Our products are designed for the United States market. The certifications, standards, features, instructions and compatibility of our products may differ from those required or expected in your country.
You confirm that you are not located in a country that is subject to a United States government embargo, and that you are not on any United States government list of prohibited or restricted parties.
SECTION 13 - RETURNS AND REFUNDS
Our Return Policy is part of these Terms. It sets the return window, the condition an item must be in, and how refunds and exchanges work.
Approval first. You must contact us and receive approval and instructions before sending anything back. Items sent back without our prior approval will not be refunded. We are not responsible for them, and we may dispose of them. Refused and undeliverable packages are handled under Section 11.
Shipping costs. The shipping cost on your original order is not refundable. You pay return shipping unless our Return Policy says otherwise. Use a tracked shipping method, because we are not responsible for returns that are lost on their way to us.
What cannot be returned. The Return Policy lists items that are final sale or cannot be returned, including engraved or personalized items, replacement products, free gifts, and products bought from anyone other than us.
Purchases from other sellers. We refund only products bought directly from us. A product bought from another retailer or through a marketplace, including one of our own marketplace storefronts, must be returned through that retailer or marketplace under its policy.
Counterfeit, swapped or third-party items. If a return contains an item that was not sold by us, that is counterfeit, or that has been swapped for a different item, the entire return is void and no refund will be issued. We may keep those items for investigation and report the matter.
Offers, bundles and free gifts. If you return part of an order and the rest of the order no longer qualifies for a discount, bundle price or free gift you received, we may reduce your refund by the value of that discount or gift, or require you to return the gift.
Return abuse. We may refuse a return, or limit or decline future orders, if we see a pattern of excessive or abusive returns.
Refunds are issued to the original payment method. Where a product is not as described or you are otherwise unhappy with a purchase, a return and refund under the Return Policy is your sole remedy, except as stated in our Lifetime Warranty.
SECTION 14 - LIFETIME WARRANTY
On this site, the Lifetime Warranty is an optional add-on. It covers only the Tracker Cards in an order where you purchased it, as described on the offer page and in our Return Policy, and the rules in this section apply as well.
Making a claim. To make a claim, contact us at support@code-wallets.com with your order number. We may ask for proof of purchase, photos or video, or the return of the item. Replacements under a Lifetime Warranty purchased on this site ship free.
What you receive. If your claim qualifies, we will replace the product. Replacements are sent in the same color and style where available. If that product, color or style has been discontinued or is out of stock, we may send an equivalent product instead. Replacement products cannot be returned for a refund, and they stay covered by the warranty.
What is not covered. The warranty does not cover lost or stolen products. It does not cover products bought from unauthorized sellers, counterfeit products, or products bought for resale. It does not cover a product whose purchase price was refunded or whose payment was reversed. It does not cover anything carried in or attached to a product, such as cards, cash, keys or a phone.
Who is covered. The warranty covers products bought from us or from one of our authorized sellers, as described in Section 18. Whoever makes a claim, including someone who received the product as a gift, must give us the original order details.
Misuse of the warranty. We decide whether a claim qualifies. We may deny any claim we believe is fraudulent or abusive, including a claim made to obtain products for resale. We may change or end the warranty program for products bought after the change.
Your only warranty remedy. Replacement of the product is your sole remedy under the warranty. To the fullest extent the law allows, the warranty does not cover loss of use, loss of or damage to other property, or any incidental or consequential loss.
This warranty gives you specific legal rights, and you may also have other rights that vary from state to state and country to country.
SECTION 15 - PROMOTIONS, DISCOUNT CODES, GIFT CARDS AND REWARDS
Offers. Sales, bundles, free gifts and other offers are available for a limited time and while supplies last. We may change or end any offer at any time. Unless an offer says otherwise, it is limited to one per customer and cannot be combined with any other offer.
Discount codes. We honor only discount codes that we issued. Unless the offer says otherwise, each code:
is for use only by the person it was issued to;
is limited to one per order and cannot be combined with another code or offer;
has no cash value;
cannot be applied to taxes, shipping or gift cards;
is not valid on an order you already placed;
is valid only on our official site, not with any other retailer or marketplace;
may not be transferred, sold, traded, published or posted on any coupon or deal site;
is void if copied, sold, altered or expired.
We may cancel any order placed with a code that was not meant for you, that was obtained or used in a way these Terms do not allow, or that we believe involves abuse, misuse or fraud. If you return a product bought with a code, the value of the code is not refunded or credited. We are not responsible for lost, stolen or misused codes.
Free gifts. A free gift offered with a purchase is available while supplies last. We may substitute an item of similar value. Free gifts have no cash value.
Gift cards. Gift cards are issued by SS MEDIA LLC and can be redeemed only on our site. They cannot be redeemed for cash except where the law requires, cannot be resold, and will not be replaced if lost or stolen unless the law requires. A refund for an item paid for with a gift card is issued back to a gift card.
Store credit. Store credit has no cash value, is tied to your account, cannot be transferred, and may expire where the law allows and as stated when it is issued.
Rewards, referral and loyalty programs. Any rewards, referral or loyalty program we offer is subject to the additional terms presented with it. Points, credits and rewards have no cash value, are not your property and cannot be transferred. We may reverse rewards earned on returned, cancelled or fraudulent orders, and we may change or end any program at any time.
Abuse. We may void an offer, cancel an order or close an account if we believe an offer is being abused, including through multiple accounts, false information or automated tools.
Paid and gifted endorsements. Creators, influencers, affiliates and others who share our products, links or codes may be paid by us or may have received free products.
SECTION 16 - FREE PRODUCT GIVEAWAYS, CONTESTS AND SWEEPSTAKES
Free product giveaways exclude limited edition and limited release products. Limited release products include, but are not limited to: Limited release Carbon Fiber Modular Backplate, Limited release Red Anodized Forged Carbon Modular Backplate, Limited release Titanium Stealth Wallet, Limited release Classic Wallet, Limited release Leather Case, Limited release Brushed Stealth Wallets, Limited release Multi-Tool Card.
From time to time we run giveaways, contests, sweepstakes and similar promotions. Each one is governed by its own official rules, which are part of these Terms. If the official rules conflict with these Terms, the official rules control for that promotion.
No purchase is necessary to enter or win where the law requires. Promotions are void where prohibited. Winners are responsible for any taxes on a prize. Prizes are awarded as is, cannot be transferred, and cannot be exchanged for cash or another prize except at our choice. We may cancel, suspend or change a promotion if fraud, technical problems or anything else outside our control affects it.
By entering, you allow us to use your name, likeness, city and state, and entry to announce and promote the promotion, where the law allows, without payment to you.
SECTION 17 - SUBSCRIPTIONS AND AUTOMATIC RENEWAL (if applicable)
If we offer a product or service on a subscription or automatic renewal basis, the price, billing frequency and other terms shown to you when you sign up are part of these Terms.
By enrolling, you authorize us to charge your payment method on a recurring basis, at the price and frequency shown when you signed up, until you cancel. We will not ask for further authorization before each charge.
Your subscription continues until you cancel it or we end it. You may cancel at any time using the cancellation method shown when you signed up or in your account, or by emailing support@code-wallets.com. To avoid the next charge, cancel before your next billing date. There is no minimum purchase and no cancellation fee unless we clearly told you otherwise when you signed up.
We may change the price of a subscription. If we do, we will tell you in advance and you may cancel before the new price applies. We will send any reminders and notices the law requires. We may pause or end any subscription at any time.
You must keep your billing information current. If a charge fails, we may try again, suspend the subscription or cancel it. We are not responsible for overdraft, over-limit or other fees charged by your bank or card issuer. Charges already made are refundable only as described in our Return Policy.
SECTION 18 - AUTHORIZED SELLERS; NO RESALE
We sell our products for personal and household use, not for resale. By placing an order, you confirm that you are buying for your own use or as a gift, and that you will not resell, distribute or export the products for commercial purposes.
No one may resell our products without our prior written authorization. If we suspect an order or account is connected to unauthorized resale or distribution, we may cancel and refund any open orders tied to that account, person, payment method, address or IP address, suspend or close the account, block access to the site, and refuse future orders.
Our authorized sellers are our own official storefronts on third-party marketplaces and the retailers we have approved in writing. If you are not sure whether a seller is authorized, ask us before you buy. Products offered by unauthorized sellers may be counterfeit, used, altered or damaged. They are not eligible for returns through us and are not covered by our Lifetime Warranty.
We reserve all rights and remedies against unauthorized sellers, including under trademark law and the Lanham Act.
If you buy our products through a third-party retailer or marketplace, that purchase is also subject to the terms of that retailer or marketplace, and returns and refunds are handled by that seller.
SECTION 19 - AFFILIATE PROGRAM
19a Acceptance and scope

Affiliates are independent contractors, not employees, partners, agents, or representatives of the Company. Nothing in these terms creates an employment, partnership, joint venture, agency, or fiduciary relationship. Affiliates have no authority to bind or represent the Company.
19e Permitted promotional activity and compliance
Affiliates may promote Company products only using original content they personally create. All promotions must be truthful, accurate, and not misleading. Affiliates must comply with all applicable laws and regulations, including FTC disclosure requirements for affiliate relationships.
19f Prohibited activities, immediate termination, forfeiture
The following activities are strictly prohibited and are grounds for immediate termination and forfeiture, withholding, or voiding of commissions, as determined by the Company in its sole discretion.
19g Reposting or repurposing Company Content
Affiliates may not repost, reuse, modify, republish, redistribute, stitch, duet, remix, or otherwise repurpose any Company Content, including but not limited to product photos, website images, ad creatives, brand videos, social media posts, email copy, or landing page content. This applies to both organic and paid usage, whether edited or unedited. All promotional content must be original unless explicit written permission is granted by the Company.
19h Paid advertising and brand bidding
Affiliates may not run any paid advertising promoting Company products, including but not limited to Meta ads, Google ads, TikTok ads, YouTube ads, search ads, display ads, or native ads. This prohibition applies whether ads are run under the Affiliate’s account, a third party account, or any account controlled directly or indirectly by the Affiliate. Affiliates may not bid on Company brand terms, trademarks, product names, misspellings, or related keywords.
19i Brand misrepresentation
Affiliates may not present themselves as the Company or imply employment, ownership, or official representation. Affiliates may not create domains, landing pages, social profiles, or accounts that impersonate or closely resemble the Company brand.
19j Fraudulent or abusive activity
Affiliates may not engage in fraudulent, deceptive, or abusive practices, including self referrals, fake or incentivized purchases, cookie stuffing, bot traffic, false claims, or misleading pricing or promotions. The Company determines violations at its sole discretion.
19k Coupon and deal sites are strictly prohibited
Affiliates are strictly prohibited from posting, distributing, or seeding their unique discount codes or tracking links on any public coupon websites, deal aggregation platforms, or discount forums. This includes, but is not limited to, RetailMeNot, Groupon, Honey, CouponCabin, Reddit deals communities, and similar sites. The Affiliate code is intended solely for the Affiliate’s owned social media channels and direct audience. Any commissions generated from coupon scrapers, deal sites, or organic search traffic resulting from coupon site placement will be voided, and the Affiliate code may be immediately deactivated without notice.
19l Offensive or harmful content
Affiliates may not promote Company products in connection with content that is violent, sexually explicit or pornographic, discriminatory (based on race, sex, religion, nationality, disability, sexual orientation, or age), illegal, defamatory, or that promotes hate speech, violence, or illegal substances. The Company reserves the right to define offensive content and brand misalignment at its sole discretion. Violation of this clause will result in immediate termination and total forfeiture of unpaid commissions.
19m Commission structure and payment
Affiliates can earn 5% commissions from every qualifying order they generate, excluding shipping, taxes, duties, refunds, chargebacks, discounts, or other fees. Commissions are earned only on qualifying purchases tracked through approved affiliate links or codes. The Company may adjust commission rates, structures, or eligibility at any time. Commissions may be delayed, reversed, withheld, or voided for refunds, chargebacks, suspected fraud, or violations of these terms. Payouts are subject to minimum thresholds and schedules set by the Company or Social Snowball. Affiliates are responsible for all taxes related to commissions earned. Commissions are not wages and are not guaranteed.
19n Termination at any time
We may suspend or terminate an Affiliate’s participation in the Program at any time, with or without notice, for any reason or no reason, in our sole discretion. Upon termination, all promotional rights cease immediately, and the Affiliate must stop using all Program links, discount codes, and Program materials. If you are found to be in violation of these affiliate terms, we hold the right to terminate your account and ban you from creating a new one. If termination results from a violation of these affiliate terms, we may withhold, void, or forfeit any unpaid commissions, and we may permanently ban the Affiliate from reapplying.
SECTION 20 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
SECTION 21 - THIRD-PARTY LINKS
Certain content, products and services available via our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
SECTION 22 - USER COMMENTS, FEEDBACK, REVIEWS AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.
We may, but have no obligation to, monitor any activity, and edit or remove any content, for any reason in our sole discretion, including content that we determine is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or that violates any party’s intellectual property or these Terms of Service. We may take legal action against anyone responsible for content that is unlawful or that violates these Terms of Service.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.
License to your content. “User Content” means anything you send to us or post on the site or on our social media pages, including reviews, ratings, photos, videos, testimonials, questions, comments and messages. It also includes content you post on social media when you give us permission to use it, for example by replying to our request. You grant CODE 118 and its affiliates, licensees and service providers a non-exclusive, royalty-free, fully paid, perpetual, irrevocable, worldwide, transferable license, which may be sublicensed through multiple tiers, to use, reproduce, edit, adapt, translate, publish, distribute, display, perform, broadcast, transmit, sell, commercialize and otherwise exploit your User Content, in whole or in part, and to create derivative works from it, in any media now known or later developed and for any purpose, including advertising, marketing and product development. We do not owe you notice, credit, approval or payment for any of these uses.
Your name and likeness. You allow us to use the name, username, image, likeness, voice, city and state that appear in or with your User Content, in connection with that content.
Ideas and product suggestions. Any idea, suggestion or product concept you send us is not confidential. We may use it, and any know-how in it, for any purpose, including developing, making and selling products, without owing you anything. We may already be working on something similar.
Your promises about your content. You confirm that you own your User Content or have every right needed to grant the license above, that everyone who can be identified in it has agreed to appear, that it is accurate, and that any review reflects your own honest experience with the product. If you received a free product, a discount or anything else of value in connection with your content, you agree to say so clearly in it.
Reviews. We may choose not to publish a review, and we may remove any review that we believe is fake, off-topic, abusive, or otherwise in violation of these Terms. We may invite customers to leave reviews and may offer an incentive for doing so, whether the review is positive or negative. Reviews and testimonials reflect the experience and opinions of the people who gave them. They are not our statements, and your experience may be different. Nothing in these Terms limits your right to post an honest review or to make any truthful statement about us or our products.
SECTION 23 - INTELLECTUAL PROPERTY AND TRADEMARKS
The site and everything on it, including text, graphics, logos, product names, product designs, images, photos, videos, audio, page layouts, software, and the way all of it is selected and arranged, is owned by CODE 118 or its licensors and is protected by United States and international copyright, trademark, trade dress and other intellectual property laws.
CODE 118, the CODE 118 logo, and our product names and slogans are our trademarks. You may not use them in connection with any product or service that is not ours, or in any way that is likely to cause confusion. You may not use them in a domain name, social media handle, advertisement or keyword without our written permission.
You may not copy, reproduce, modify, publish, distribute, display, sell or create derivative works from any content on the site without our written permission. Nothing in these Terms gives you a license to our trademarks, product designs, patents or other intellectual property, whether by implication, estoppel or otherwise.
We enforce our intellectual property rights to the fullest extent of the law, which may include seeking an injunction, damages and, where the law provides for it, criminal prosecution.
SECTION 24 - COPYRIGHT COMPLAINTS
We respect the intellectual property of others. If you believe content on the site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our copyright agent that includes:
your physical or electronic signature;
identification of the copyrighted work you claim has been infringed;
identification of the material you claim is infringing and where it is on the site;
your name, address, telephone number and email address;
a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law;
a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
Copyright Agent, SS MEDIA LLC, 904 Silver Spur Road #343, Rolling Hills Estates, CA 90274. Email: support@code-wallets.com, with the subject line “DMCA Notice”.
Only copyright notices should be sent to the copyright agent. A notice that does not include everything listed above may not be valid.
Counter-notice. If your content was removed and you believe that was a mistake or misidentification, you may send our copyright agent a counter-notice that includes your physical or electronic signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, your name, address and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or for Los Angeles County, California, if you are outside the United States) and will accept service of process from the person who sent the original notice. We may send a copy of the counter-notice to that person. We may restore the content 10 to 14 business days later unless that person tells us they have filed a court action.
Repeat infringers. We may close the accounts of users who repeatedly infringe the rights of others.
Anyone who knowingly makes a false claim in a notice or counter-notice may be liable for damages.
SECTION 25 - PERSONAL INFORMATION, TRACKING TECHNOLOGIES AND RECORDED COMMUNICATIONS
Your submission of personal information through the store is governed by our Privacy Policy, which you can view at our Privacy Policy page.
Tracking technologies. We and the analytics, advertising and marketing providers we work with use cookies, pixels, tags and similar technologies on the site. These technologies collect information about your visit as it happens. That information includes the pages and products you view, the links and buttons you click, what you search for, the items you add to your cart, your checkout activity and purchases, the information you submit in forms and chat, your device and browser information, your IP address and your approximate location. We use it to run the site, process orders, prevent fraud, measure and improve the site and our advertising, send cart reminders, and show you relevant content and ads on our site and on other sites and apps. By using the site, you consent to this collection, and to our sharing it with those providers, as described in our Privacy Policy. You agree that those providers act on our behalf as part of the Service. The Privacy Policy explains the choices you have.
Chat. If you use a chat feature on the site, your conversation is recorded and stored, and it may be handled by third-party providers and by automated or AI-assisted tools. Do not put sensitive information in a chat. Automated answers are for general information only.
Phone calls. Calls to or from us may be monitored and recorded for quality, training and record-keeping. By calling us or taking our call, you consent to that monitoring and recording.
SECTION 26 - ELECTRONIC COMMUNICATIONS, SIGNATURES AND RECORDS
When you use the Service or send us an email, text or chat message, you are communicating with us electronically, and you consent to receive communications from us electronically. We may communicate with you by email, by text, or by posting notices on the site. You agree that all agreements, notices, disclosures and other communications we provide electronically satisfy any legal requirement that they be in writing.
When you place an order, you agree to receive emails about that order and your account, such as confirmations, shipping updates, warranty messages and legal notices. We may also send you marketing emails where the law allows. You can unsubscribe from marketing emails at any time using the link in any of them.
When you click a button such as “Complete order”, “Pay now”, “Subscribe” or “I agree”, or check a box that refers to these Terms, you are signing electronically. You agree that your electronic signature has the same legal effect as a handwritten one, and that contracts, orders and records between us may be made and kept electronically, under the federal Electronic Signatures in Global and National Commerce Act and similar state laws. You give up any right under any law to require an original signature or a paper record.
Keep your email address up to date. A notice is treated as given when we send it to the last email address you gave us or post it on the site.
SECTION 27 - TEXT PROGRAM AND PHONE COMMUNICATIONS
By providing your mobile phone number and opting into the CODE 118 texting program, you consent to receive text messages from CODE 118 for promotional, informational, cart reminders and transactional purposes. You may opt out of our program at any time by replying to any message with STOP. By doing that, you will no longer receive text messages from CODE 118 unless you choose to opt back in. Message frequency may vary and you understand that standard message and data rates may apply, and you are responsible for any such charges. If you have any questions or concerns about our texting program, you can reply to any message with HELP or contact us at support@code-wallets.com. In addition, you agree to our Messaging Terms (https://terms.pscr.pt/legal/shop/element-119/terms_of_service) and Messaging Privacy Policy (https://terms.pscr.pt/legal/shop/element-119/privacy_policy).
Automated messages. Texts in the program are recurring and may be sent using an automatic telephone dialing system or other automated technology. Your consent to receive marketing texts is not a condition of any purchase. After you opt out, you may receive one more message confirming that you have been unsubscribed.
Order and service messages. When you give us a phone number at checkout, in your account or when you contact us, you agree that we and our service providers may call or text that number about your order, delivery, account, warranty claim or support request, including by using an automatic telephone dialing system or an artificial or prerecorded voice, even if the number is on a Do Not Call list.
Your number. You confirm that you are the subscriber or regular user of every phone number you give us. If you change or give up a number, you agree to text STOP from it or tell us before you do. You agree to indemnify us for any claim that arises because you gave us a number that is not yours or did not tell us that a number changed.
Delivery. Delivery of texts depends on your carrier and device. We, our service providers and the mobile carriers are not liable for delayed or undelivered messages.
Messaging Terms. If the Messaging Terms conflict with these Terms on how the text program works, for example consent, message frequency and opting out, the Messaging Terms control for the text program. Sections 34 and 35 apply to every Dispute about our texts and calls. Any arbitration agreement or class action waiver in the Messaging Terms applies in addition. If the two conflict on how a Dispute is resolved, Sections 34 and 35 control. If Section 34 does not apply to you, any arbitration agreement in the Messaging Terms still applies to Disputes about our texts.
SECTION 28 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.
SECTION 29 - PROHIBITED USES
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
You also may not:
access the site through any interface other than the one we provide, or use bots or other automated tools to place orders, hold stock or take advantage of offers;
interfere with the operation of the site or with anyone else’s use of it, intercept data, or get around any access control, purchase limit or other technical measure;
impersonate any person or business, or suggest that you are affiliated with or endorsed by us when you are not;
place an order using false information, or open more than one account to get around a limit;
buy our products for resale or distribution without our written authorization;
abuse our return, warranty, discount, referral, rewards or giveaway programs;
say that we made a claim about a product that we did not make;
send advertising or promotional material through the site without our consent;
threaten, harass or abuse our employees or customer service agents.
You also may not use the Service in any other way that could harm us or anyone else, or attempt to do any of the things listed in this section. If you do any of these things, we may cancel your orders, suspend or close your account, block your access to the site, refuse future orders, and pursue any other remedy available to us.
SECTION 30 - YOUR REPRESENTATIONS AND WARRANTIES
Each time you use the Service, you represent and warrant that:
you are of legal age and have the legal capacity to agree to these Terms;
all information you give us is true, accurate and complete;
you have not previously been suspended or removed from the Service;
you have, and will have, only one customer account;
you are authorized to use the payment method you give us;
you are buying for personal use or as a gift, and not for resale;
you are using the Service because you are genuinely interested in our products, and not for the purpose of creating or pursuing a legal claim;
your use of the Service does not violate any law or any other agreement you are bound by.
SECTION 31 - DISCLAIMER OF WARRANTIES
We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.
We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE. EXCEPT FOR THE LIFETIME WARRANTY DESCRIBED IN SECTION 14, WE MAKE NO REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICE, THE SITE, ITS CONTENT OR OUR PRODUCTS, AND WE DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT.
The Lifetime Warranty described in Section 14 is the only express warranty we give on our products. No employee, agent, affiliate, creator, retailer or other person is authorized to give any other warranty on our behalf, and no advice or information you get from us or through the Service creates a warranty.
We do not warrant that the site, its servers or any message sent from us is free of viruses or other harmful components. Anything you download from the site is at your own risk, and you are solely responsible for any damage to your device or loss of data that results.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the exclusions above may not apply to you. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under the law that applies to you. Where the law does not allow an implied warranty to be disclaimed, that warranty is limited to the shortest duration the law allows.
SECTION 32 - LIMITATION OF LIABILITY; TIME LIMIT TO BRING CLAIMS
IN NO CASE SHALL CODE 118, OUR RELATED PARTIES, OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE OR OUR PRODUCTS, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, WORK STOPPAGE, DEVICE FAILURE, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF, INABILITY TO USE, OR RELIANCE ON ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF WE KNEW OR SHOULD HAVE KNOWN THAT THOSE DAMAGES WERE POSSIBLE AND WHETHER OR NOT THEY WERE FORESEEABLE. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
CAP ON LIABILITY. THE TOTAL COMBINED LIABILITY OF CODE 118 AND OUR RELATED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, OUR PRODUCTS OR THESE TERMS WILL NOT BE MORE THAN THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM, OR (B) US $100.
EXCLUSIVE REMEDIES. IF YOU HAVE A PROBLEM WITH A PRODUCT, YOUR SOLE REMEDY IS A RETURN AND REFUND UNDER OUR RETURN POLICY OR A REPLACEMENT UNDER OUR LIFETIME WARRANTY. IF YOU ARE UNHAPPY WITH THE SITE OR THE SERVICE, YOUR SOLE REMEDY IS TO STOP USING IT.
Specific exclusions. To the fullest extent the law allows, we are not liable for the loss of, theft of or damage to anything carried in or attached to our products, such as cards, cash, keys, phones or the contents of a bag, for any item you were unable to locate with a tracker product, for fees charged by an airline or carrier, or for the acts or failures of third parties such as carriers, payment providers, mobile carriers and the operators of device-location networks.
Basis of the bargain. These limits are a basic part of the deal between you and us and are reflected in our prices. They apply even if a remedy fails of its essential purpose.
Where the law restricts these limits. These limits apply to the fullest extent the law allows. If a law that cannot be waived by contract does not allow one of them, that limit applies only as far as that law allows.
New Jersey residents. The disclaimers and limits in Sections 31, 32 and 33 apply to you only to the extent New Jersey law permits. See Section 45.
TIME LIMIT TO BRING CLAIMS. ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE, OUR PRODUCTS OR THESE TERMS MUST BE FILED WITHIN ONE YEAR AFTER THE EVENT THAT GAVE RISE TO IT. A CLAIM IS FILED WHEN A DEMAND FOR ARBITRATION IS FILED UNDER SECTION 34 OR, IF THE CLAIM IS ALLOWED IN COURT, WHEN THE COMPLAINT IS FILED. SENDING A NOTICE OF DISPUTE IS NOT FILING. A CLAIM THAT IS NOT FILED WITHIN THAT TIME IS PERMANENTLY BARRED. The one-year period is paused only while Section 34.4 or Section 34.13 pauses a deadline and while a court decides a question under Section 34.4. A claim that Section 34.11, Section 34.12 or Section 34.13 sends to court counts as filed when its demand for arbitration was filed. This time limit does not shorten the Lifetime Warranty, and a claim about a warranty decision must be filed within one year after that decision. If the law that applies to you does not allow a one-year limit, the limit is the shortest period that law allows. Neither this time limit nor the cap on liability applies to the lawsuits described in Section 34.3.
No reliance. We do not endorse, and are not responsible for the accuracy or reliability of, any opinion, advice, information or statement on the site, whoever made it. It is your job to evaluate it, and you rely on it at your own risk.
SECTION 33 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless CODE 118 and our Related Parties from and against every claim, demand, liability, loss, damage, judgment, settlement, fine, cost and expense of any kind, including attorneys’ fees, expert fees and court and arbitration costs, that is brought by or owed to any third party and arises out of or is in any way connected with: (a) your use of the Service or of any product, including the use of a tracker product to track a person; (b) your breach of these Terms of Service or of the documents they incorporate by reference; (c) your violation of any law or of the rights of a third party; (d) your User Content or any information you give us, including a phone number that is not yours; or (e) any resale of our products that these Terms do not allow.
We may take exclusive control of the defense of any claim covered by this section, at your expense, and you agree to cooperate with us if we do. You may not settle a covered claim without our written consent. This section continues to apply after your use of the Service ends.
SECTION 34 - DISPUTE RESOLUTION: MANDATORY ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE OR TAKE PART IN A LAWSUIT IN COURT, INCLUDING A CLASS ACTION, AND TO HAVE A JURY HEAR YOUR CLAIMS. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND DISCOVERY AND THE RIGHT TO APPEAL ARE MORE LIMITED THAN IN COURT.
34.1 Disputes covered. “Dispute” means any claim or controversy between you and CODE 118 that arises out of, relates to or is connected with the Service, the site, our products, our advertising, marketing or pricing, any order, our communications with you, including emails, texts and calls, the collection or use of your information, these Terms, or any other part of your relationship or dealings with us. It covers claims based on contract, tort, statute, fraud, misrepresentation or any other legal theory. It covers Disputes that arose before you agreed to these Terms, Disputes that arise while they apply, and Disputes that arise after your use of the Service or your relationship with us ends. “Dispute” is to be given the broadest meaning the law allows.
34.2 Who is covered. This section also covers Disputes that relate to the Service or our products between you and our Related Parties, our carriers, payment providers, advertising, analytics and technology providers and authorized sellers, and each of their successors and assigns. It also covers any claim you bring against anyone else together with a claim against us or based on the same facts. Each of them is an intended beneficiary of this Section 34 and of Sections 35 and 36, and may enforce them as if it were CODE 118.
34.3 Lawsuits already filed. This Section 34 does not apply to any lawsuit that was already on file in court against us when this Section 34 first took effect, or to your rights as a member or potential member of the class in any such lawsuit.
34.4 Informal resolution comes first. Before either of us starts an arbitration or a small claims case, the one with the Dispute must send the other a written notice (a “Notice of Dispute”) and give the other 60 days to resolve it.
Send your notice to support@code-wallets.com with the subject line “Notice of Dispute”, or by mail to SS MEDIA LLC, Attn: Legal, 904 Silver Spur Road #343, Rolling Hills Estates, CA 90274. We will send ours to the email or mailing address we have for you.
A notice must include your full name, mailing address, the email address and phone number tied to your orders, any order numbers involved or, if you did not place an order, the dates you used the site and the web address and device you used, a description of the Dispute and the facts behind it, the specific relief you want, including any amount of money and how you calculated it, and a signature you wrote or drew yourself (a signed PDF or a photo of a signed page is fine). A typed name alone, or a signature added by a lawyer or anyone else, is not enough. If you have a lawyer, the notice must also give the lawyer’s name and contact details.
A notice must be individual. It can cover only one person’s Dispute.
The 60 days start when the other side receives a notice that includes everything this Section 34.4 requires. A notice that leaves something out does not start the 60 days or pause any deadline. During the 60 days, you and we will try in good faith to resolve the Dispute. If either of us asks, you and we will meet once by phone or video. If you have a lawyer, your lawyer may join, but you must take part personally too.
Any statute of limitations or filing deadline is paused from the day a complete notice is received until the 60 days end.
Completing this process is a condition that must be met before an arbitration or small claims case can be started. If you and we disagree about whether a notice was complete or this process was followed, either of us may ask a court to decide, and any arbitration is on hold until the court does. A court may bar an arbitration from being filed or continued until this process is complete, and the arbitrator must dismiss a demand that was filed without it.
34.5 Agreement to arbitrate. If the Dispute is not resolved within the 60 days, either of us may start an arbitration. You and CODE 118 agree that every Dispute will be resolved only by final and binding individual arbitration, and not in court, except as stated in Section 34.6. This agreement is mutual. If either of us files a Dispute in court that this Section 34 requires to be arbitrated, the other may ask in writing that it be withdrawn, and the one who filed it must withdraw it.
34.6 Exceptions. Either of us may:
bring an individual claim in small claims court in the county where you live or in Los Angeles County, California, as long as it stays in that court and is not removed or appealed to a court of general jurisdiction;
bring a lawsuit in court to protect or enforce its patents, copyrights, trademarks, trade dress or trade secrets (but not privacy or publicity rights), for any relief including money damages;
ask a court to enforce Section 34.4, including by pausing or barring an arbitration that was started before the informal process was completed, or ask a court for temporary relief needed to protect its rights while an arbitration is pending.
Bringing a claim under one of these exceptions does not waive the right to arbitrate any other Dispute. If either of us delays in asking for arbitration, does not enforce this Section 34 for one Dispute, or takes part in a court case, including a lawsuit described in Section 34.3, that does not give up the right to require arbitration of any other Dispute or of anyone else’s Dispute.
34.7 Governing law and who decides. These Terms involve interstate commerce. The Federal Arbitration Act and federal arbitration law govern the interpretation and enforcement of this Section 34, including its procedures. State arbitration law does not apply, even though Section 36 chooses California law for the rest of these Terms. The arbitrator, and not any court, has exclusive authority to decide every question about the formation, validity, interpretation, scope, applicability or enforceability of this Section 34 and of these Terms. That includes whether a Dispute must be arbitrated, whether any part of this section or of these Terms is void, unconscionable or illusory, any defense to arbitration such as waiver, delay, laches or estoppel, and whether someone who did not sign these Terms can enforce this section or is bound by it. There are three exceptions. Only a court may decide whether Section 34.11 (class action waiver) or Section 34.13 (mass filings) is enforceable. A court also decides whatever Sections 34.4, 34.6, 34.11 and 34.12 send to a court. In a mass filing, the JAMS Process Administrator decides the matters Section 34.13 gives it, but a court’s ruling under Section 34.4 on the same question controls.
34.8 Rules and administrator. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or under its Comprehensive Arbitration Rules and Procedures if any claim in the Dispute is for more than US $250,000, in each case as in effect when the arbitration starts and as modified by this section. The rules are available at www.jamsadr.com. The JAMS Consumer Arbitration Minimum Standards apply. If any part of this Section 34, or anything it tells the arbitrator to apply, conflicts with those standards, the standards control for that part only, and the rest of this Section 34 stays in effect. The JAMS Class Action Procedures, and any other rule that would allow a class, representative or consolidated proceeding, do not apply, except as Section 34.13 provides. If JAMS is unavailable or unwilling to administer the arbitration under this section, you and we will agree on another administrator, or a court will appoint an arbitrator. There will be one arbitrator, who must be a retired judge or a lawyer with at least 10 years of experience, chosen as the JAMS rules provide. You and we will exchange the non-privileged information that is relevant to the Dispute, as the JAMS rules provide. To start an arbitration, a party must file a written demand for arbitration with JAMS. The demand must include the information required in a Notice of Dispute and a statement that the informal process in Section 34.4 was completed. By filing a demand, the filing party and its lawyer, if it has one, certify that the informal process was completed and that the demand meets the standards of Federal Rule of Civil Procedure 11(b). A copy must be sent to us at the addresses in Section 34.4.
34.9 Hearings and location. If the Dispute is for US $10,000 or less and does not ask for an injunction, it will be decided on written submissions, unless you ask for a hearing or the arbitrator decides one is needed. Any hearing will be held by video or phone unless the arbitrator requires an in-person hearing. An in-person hearing will be held in the county where you live or at another place you and we agree on.
34.10 Fees. The JAMS rules and the JAMS Consumer Arbitration Minimum Standards govern who pays the filing, case management and arbitrator fees. If you start the arbitration, you pay only the consumer fee that those standards set, which is currently US $250, unless JAMS reduces or waives it, and we pay the rest of the JAMS fees. If we start the arbitration, we pay all of the JAMS fees. In a mass filing under Section 34.13, the JAMS Mass Arbitration Fee Schedule sets the fees. If either of us disputes a JAMS fee or invoice in good faith, that is not a default, waiver or breach of this Section 34. JAMS, or the arbitrator once one is appointed, decides the dispute, and the disputed amount is due on the date JAMS or the arbitrator then sets. The arbitrator may sanction a party or its lawyers for a claim or defense that is frivolous or was brought for an improper purpose, measured by the standard in Federal Rule of Civil Procedure 11(b), or for failing to complete the informal process in Section 34.4, to the same extent a court could. Sanctions may include an order to pay the other side’s reasonable attorneys’ fees and costs. Each side pays its own attorneys’ fees and costs unless the law or these Terms give a right to recover them.
34.11 CLASS ACTION WAIVER. YOU AND CODE 118 AGREE THAT EACH OF US MAY BRING A DISPUTE AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, REPRESENTATIVE OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE ACTION, ARBITRATION OR OTHER PROCEEDING. The arbitrator may award relief only to the individual who brought the Dispute and only as needed to resolve that individual’s claim. The arbitrator may not combine more than one person’s claims or preside over any class or representative proceeding, except as Section 34.13 provides. If a court decides that this waiver cannot be enforced for a particular claim or request for relief, then that claim or request, and only that claim or request, will be separated and brought in court under Section 36 after the arbitration of everything else is finished.
34.12 Public injunctive relief. If you ask for public injunctive relief, meaning relief whose main purpose and effect is to stop unlawful acts that threaten future injury to the general public, and the law that applies does not allow you to waive the right to seek it in court, then that request will be decided by a court after the arbitrator has decided the rest of the Dispute.
34.13 Mass filings. If 25 or more similar Notices of Dispute are sent to us, or 25 or more similar demands for arbitration are filed against us, by or with the help of the same law firm or a group of law firms or organizations working together, the following applies to every demand for arbitration in that group:
the JAMS Mass Arbitration Procedures and Guidelines and the JAMS Mass Arbitration Fee Schedule apply, as modified by this section, and a mass arbitration under those procedures means 25 or more similar demands;
JAMS will group the demands into batches of 100, with any remainder forming a final batch; one arbitrator will be chosen for each batch as the JAMS rules provide, with the claimants in the batch acting together as one side, and each batch will have one procedural calendar;
each person’s claim in a batch will still be decided on its own facts and will receive its own award;
batches will be arbitrated in stages, and arbitrator fees for a batch become due only when that batch is called;
any statute of limitations or filing deadline for a demand is paused from the day its Notice of Dispute was received until its batch is called;
the Process Administrator that JAMS appoints, or JAMS if it appoints none, will decide any disagreement about how this Section 34.13 applies, including whether a demand belongs in the group, whether it meets the filing requirements and whether the informal process in Section 34.4 was completed for it;
after the first batch is decided, you and we will take part in a good-faith mediation of the remaining demands before a JAMS mediator for up to 90 days, and we will pay the mediator’s fees;
if the mediation does not resolve the remaining demands, you or we may, within 60 days after it ends, choose by written notice to take a remaining demand out of arbitration and bring it in court under Section 36. If neither of us does, the remaining batches continue in order.
Notices and demands are similar if they arise from the same or similar facts or events, raise the same or similar legal issues and ask for the same or similar relief. This process does not authorize class arbitration of any kind. You agree to it even though it may delay the arbitration of your Dispute. We keep every right and defense as to each demand and each person. If JAMS does not treat a group as a mass arbitration under its procedures, or will not apply part of this Section 34.13, the rest of this Section 34.13 still applies. If a court decides that this Section 34.13 cannot be enforced for a set of demands, then those demands must be brought in court under Section 36, and the rest of this Section 34 continues to apply to everyone else.
34.14 The arbitrator’s authority and decision. The arbitrator will apply these Terms, including Section 32, and the law that would apply in court, including statutes of limitations and legal privileges. The arbitrator may decide motions that resolve all or part of a Dispute without a hearing. The arbitrator may award any individual relief that a court could award. The decision will be in writing and will state the essential findings and reasons. Judgment on the award may be entered in any court with jurisdiction. An award binds only the parties to that arbitration and has no effect in any Dispute involving anyone else. Neither of us may tell the arbitrator about a settlement offer until after the award.
34.15 Confidentiality. To the extent the law allows, you, we and the arbitrator will keep confidential the non-public information exchanged in the arbitration and the award, except as needed to prepare for and conduct the arbitration, to enforce or challenge the award, or to comply with the law. Nothing in this paragraph stops you from discussing the facts underlying your Dispute or from reporting to a government agency. The arbitrator may issue orders to protect confidential information.
34.16 YOUR RIGHT TO OPT OUT. YOU MAY OPT OUT OF THIS SECTION 34 BY MAILING US A SIGNED WRITTEN NOTICE WITHIN 30 DAYS AFTER YOU FIRST ACCEPT ANY VERSION OF THESE TERMS THAT CONTAINS AN ARBITRATION AGREEMENT. Mail it to SS MEDIA LLC, Attn: Arbitration Opt-Out, 904 Silver Spur Road #343, Rolling Hills Estates, CA 90274. The notice must be postmarked within the 30 days. It must include your full name, your mailing address, the email address you use with us, your order number, the product you bought and the date you bought it or, if you have not placed an order, the dates you used the site, a clear statement that you are opting out of arbitration, and your handwritten signature. Each person must opt out individually, and a notice sent on behalf of more than one person is not valid. A notice that is late, incomplete, unsigned or sent any other way, including by email, is not valid, and you will remain bound by this Section 34. Keep a copy of your notice and proof of the date you mailed it, because you are responsible for showing that it was sent on time. If you opt out, neither you nor we are bound by this Section 34, and every other part of these Terms, including Sections 35 and 36, continues to apply. The definition of “Dispute” in Section 34.1 and the list of who is covered in Section 34.2 still apply wherever Sections 35 and 36 use them. Opting out of this Section 34 does not affect any other arbitration agreement you have with us, including one in the Messaging Terms.
34.17 Changes to this section. Despite Section 43, a change to this Section 34 does not apply to a Dispute for which a Notice of Dispute was received before the change took effect. If we make a material change to this Section 34, you may reject the change by mailing us a signed written notice at the address in Section 34.16 within 30 days after the change is posted. If you do, the version of this Section 34 that you last accepted continues to apply to you.
34.18 Severability and survival. Except as stated in Sections 34.11 and 34.13, if any part of this Section 34 is found unenforceable, that part will be narrowed as far as needed to make it enforceable, or removed if it cannot be narrowed, and the rest will be enforced. If this Section 34 is found unenforceable for a Dispute, any earlier arbitration agreement between you and us that covered that Dispute continues to apply, despite Sections 41 and 43. This Section 34 continues to apply after your use of the Service ends, after any order is fulfilled or cancelled, after you close an account or unsubscribe, and after any bankruptcy, assignment or transfer.
SECTION 35 - CLASS ACTION WAIVER AND JURY TRIAL WAIVER
This section applies whether or not Section 34 applies to you, including if you opted out of arbitration or if a Dispute is heard in court for any reason. It does not apply to the lawsuits described in Section 34.3.
CLASS ACTION WAIVER. YOU AND CODE 118 AGREE THAT EACH OF US MAY BRING A DISPUTE AGAINST THE OTHER, IN ANY FORUM, ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF, REPRESENTATIVE OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE ACTION OR PROCEEDING, EXCEPT AS SECTION 34.13 PROVIDES. YOU AGREE NOT TO JOIN, OR TO RECEIVE MONEY OR OTHER RELIEF FROM, ANY SUCH ACTION BROUGHT BY SOMEONE ELSE, WHETHER IT WAS FILED BEFORE OR AFTER YOU ACCEPTED THESE TERMS.
JURY TRIAL WAIVER. YOU AND CODE 118 EACH KNOWINGLY, VOLUNTARILY AND IRREVOCABLY GIVE UP THE RIGHT TO A TRIAL BY JURY, AND AGREE NOT TO ASK FOR ONE, IN ANY COURT PROCEEDING THAT ARISES OUT OF OR RELATES TO THE SERVICE, OUR PRODUCTS OR THESE TERMS, WHETHER THE CLAIM EXISTS NOW OR ARISES LATER AND WHATEVER IT IS BASED ON. THE CASE WILL BE TRIED BY A JUDGE WITHOUT A JURY. Either of us may file a copy of this paragraph with a court as written evidence of that agreement.
SECTION 36 - GOVERNING LAW AND VENUE
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California and the applicable federal laws of the United States, without regard to conflict of law rules.
Any Dispute that is not subject to arbitration and is not brought in small claims court must be brought only in the state or federal courts located in Los Angeles County, California. The only exception is where a law that cannot be waived by contract gives you the right to bring it somewhere else. You and we irrevocably consent to the exclusive jurisdiction of those courts and waive any objection to that venue, including that it is inconvenient.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
SECTION 37 - INJUNCTIVE RELIEF AND REMEDIES
As stated in Section 34.6, either of us may go to court to protect its intellectual property. You agree that a breach or threatened breach of Section 3, 18, 19, 23 or 29 will cause us harm that money cannot fully repair, and that we are entitled to an injunction or other equitable relief to stop it, without posting a bond, in addition to damages and every other remedy. We will seek that relief in court where Section 34.6 allows and otherwise in arbitration. Our remedies under these Terms are cumulative.
SECTION 38 - FORCE MAJEURE
We are not liable for any delay or failure to perform that is caused by events beyond our reasonable control. These include natural disasters, severe weather, fire, flood, epidemics, war, terrorism, civil unrest, labor disputes, government actions, tariffs, customs holds and trade restrictions, failures or delays by manufacturers, suppliers, warehouses or carriers, shortages of materials, power, internet or platform outages, and cyberattacks.
SECTION 39 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions. An unenforceable provision will be treated as replaced by an enforceable one that comes closest to what it was meant to do.
Section 34 has its own severability rules, and those rules control for that section.
SECTION 40 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service stay in effect for as long as you use the Service and continue to apply afterwards as stated in this section.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
We may also suspend or end the Service, or your access to any part of it, at any time and for any reason, without liability to you.
Every section that by its nature should continue after termination does continue, including Sections 13, 14, 18, 22, 23, 25 through 27, and 31 through 46.
SECTION 41 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, representations, statements and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). You agree that we have made no promise, representation or warranty to you other than those written in these Terms of Service and in our posted policies.
These Terms of Service are to be read as if you and we wrote them together, and no rule that an ambiguity is read against the party that drafted a contract applies.
A waiver by us is effective only if it is in writing and signed by us. A waiver in one case is not a waiver in any other case. The word “including” means “including without limitation”. A printed copy of these Terms, and of any notice given electronically, is admissible in any legal proceeding to the same extent as other business records kept in printed form.
If the terms shown with a specific offer, or the official rules of a promotion, conflict with these Terms, those terms control for that offer or promotion, but Sections 31 through 36 continue to apply unless those terms expressly say they replace them. If one of our posted policies conflicts with these Terms, these Terms control unless they say otherwise.
SECTION 42 - ASSIGNMENT; RELATIONSHIP OF THE PARTIES; NO THIRD-PARTY BENEFICIARIES
You may not assign or transfer these Terms or any of your rights or obligations under them. We may assign, transfer or subcontract any of our rights and obligations to anyone, including in a merger or a sale of our business or assets. These Terms bind and benefit each party’s successors and permitted assigns.
Nothing in these Terms creates an agency, partnership, joint venture or employment relationship between you and us.
No one other than you and us has rights under these Terms, except the persons and companies described in the Overview and in Section 34.2.
SECTION 43 - CHANGES TO TERMS OF SERVICE
You can review the most current version of the Terms of Service at any time at this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
Updated Terms take effect when we post them and replace every earlier version. From then on they apply to all use of the Service, to every order, and to every Dispute for which a Notice of Dispute is received or a court case is filed after they are posted, no matter when the purchase or events behind it took place. They do not apply to the lawsuits described in Section 34.3. Changes to Section 34 are handled as stated in Section 34.17.

SECTION 45 - NOTICE FOR NEW JERSEY USERS
If you are a consumer who lives in New Jersey, the following applies to you. Nothing in these Terms limits any right you have under New Jersey law that cannot be waived by contract. To the extent New Jersey law does not permit them, the disclaimers in Section 31, the limits in Section 32, the indemnity in Section 33 and the time limit to bring claims do not apply to you. In particular, these Terms do not limit your rights under the New Jersey Consumer Fraud Act, the New Jersey Products Liability Act, the New Jersey Punitive Damages Act or the New Jersey Uniform Commercial Code. Every other part of these Terms continues to apply.
SECTION 46 - INTERNATIONAL USERS; RIGHTS THAT CANNOT BE WAIVED; ENGLISH LANGUAGE
We operate the Service from the United States. We do not represent that the Service or our products are appropriate or available in any other place. If you use the Service from outside the United States, you are responsible for following your local laws.
If you live outside the United States and the mandatory consumer protection law of your country gives you rights that cannot be waived by contract, nothing in these Terms takes those rights away, and Sections 11, 13, 14, 31, 32, 34, 35 and 36 apply to you only to the extent that law allows. This paragraph does not apply to anyone who lives in the United States.
These Terms are written in English, and you and we agree that they and all related documents will be in English. If we provide a translation, it is for convenience only and the English version controls.
